Terms of Use

These Terms of Use explain the rules and obligations that apply when you engage with ChatUC. Please read them carefully so you understand your rights and responsibilities while using our Services.

1. Acceptance of Terms

These Terms of Use ("Terms") form a legally binding agreement between you and ChatUC (“Company,” “we,” “us,” or “our”). By accessing or using our website, products, or services (collectively, the “Services”), you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization to this agreement. If you do not agree to these Terms, you must discontinue use of the Services immediately.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Services. By using the Services, you affirm that you meet these eligibility requirements. If you are accessing the Services on behalf of an organization, you represent that you have the authority to bind that organization.

3. Account Registration and Security

To access certain features, you may need to create an account. You agree to provide accurate, current, and complete information and to keep your credentials confidential. You are responsible for all activities that occur under your account and must notify us immediately of any suspected unauthorized use.

4. Subscription Plans and Payments

Some Services may require a paid subscription. By purchasing a subscription, you authorize us (or our third-party payment processor) to charge you applicable fees. Unless otherwise stated, fees are non-refundable. You are responsible for all applicable taxes. We may change subscription pricing with reasonable advance notice.

5. Acceptable Use

You agree not to misuse the Services. Prohibited conduct includes: (a) violating any applicable laws or regulations; (b) attempting to gain unauthorized access to any systems; (c) interfering with or disrupting the integrity or performance of the Services; (d) uploading or transmitting malicious code; (e) sending spam or other unsolicited communications; and (f) infringing on the rights of third parties.

We reserve the right to investigate violations and to suspend or terminate accounts that breach these Terms.

6. User Content

You retain ownership of any content you submit through the Services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, host, reproduce, modify, publish, distribute, and display such content for the purpose of providing and improving the Services.

You are solely responsible for ensuring that your content does not violate any laws, infringe third-party rights, or contain harmful or offensive material.

7. Intellectual Property

All intellectual property rights in the Services, including software, design, text, graphics, and other materials, are owned by or licensed to ChatUC. Except as expressly permitted, you may not copy, modify, distribute, sell, or lease any part of the Services.

We grant you a limited, non-exclusive, non-transferable license to access and use the Services in accordance with these Terms.

8. Third-Party Services and Integrations

The Services may integrate with third-party platforms such as Instagram and Meta. Your use of those platforms is governed by the respective third-party terms. ChatUC is not responsible for the availability or performance of third-party services, nor for any acts or omissions of those third parties.

9. Beta Features

We may label certain functionality as beta, preview, or early-access features. These features are provided “as is” and may be subject to additional terms. We may modify, limit, or discontinue beta features at any time without notice.

10. Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.

11. Limitation of Liability

To the maximum extent permitted by law, in no event will ChatUC, its affiliates, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly, arising from or related to your use of the Services.

Our total aggregate liability for any claim arising out of or relating to these Terms or the Services will not exceed the amount you have paid to us for the Services in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless ChatUC and our affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney’s fees, arising out of or in any way connected with your use of the Services or your violation of these Terms.

13. Suspension and Termination

We may suspend or terminate your access to the Services at any time if we determine that you have violated these Terms or if required to do so by law. Upon termination, your right to use the Services will immediately cease, but clauses that by their nature should survive termination (including payment obligations, intellectual property, disclaimer, limitation of liability, and indemnification) will remain in effect.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any disputes arising from or relating to these Terms or the Services will be resolved through binding arbitration in New Castle County, Delaware, except that either party may seek injunctive relief in a court of competent jurisdiction. The arbitration will be conducted by a single arbitrator in accordance with the rules of the American Arbitration Association.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. Material changes will be communicated through the Services or via email. Your continued use of the Services after the revised Terms become effective constitutes your acceptance of the changes.
